Terms of Service

These Terms of Service (“Terms”) are a contract between you and Lendwave (“Lendwave,” “we,” “us”) governing access to sunfield.ai and the Lendwave meeting agent, integrations, billing, and related services (the “Service”). By creating an account, connecting integrations, or using the Service, you agree to these Terms.

If you use the Service on behalf of a company or lending desk, you represent that you have authority to bind that organization, and “you” includes that organization.

Lendwave helps mortgage loan officers and lending teams by joining authorized meetings (for example Zoom, Google Meet, or Microsoft Teams), drafting mortgage-aware notes and tasks, and writing approved updates to connected CRM or LOS systems such as Follow Up Boss, Salesforce, or Encompass. Features may change as we improve the product.

Lendwave is a productivity tool for licensed lending professionals and their teams. It does not originate loans, make credit decisions, or replace your compliance, underwriting, or disclosure obligations.

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. The Service is intended for users 18 years or older in a commercial or professional capacity. You may not use the Service if you are barred under applicable law.

You retain ownership of meeting content, CRM data, and materials you provide (“Customer Content”). You grant Lendwave a limited license to host, process, and transmit Customer Content solely to provide and improve the Service as described in our Privacy Policy.

You represent that you have all rights and consents needed to:

• Invite Lendwave into meetings and process participant content.
• Connect third-party accounts (Google, Zoom, Teams, CRM/LOS).
• Permit write-back of notes and tasks you approve into those systems.

You are responsible for reviewing AI-generated drafts before they are treated as final or synced. Mortgage files often involve regulated disclosures and sensitive borrower information — you remain responsible for accuracy, completeness, and compliance.

You agree not to:

• Violate laws, lending regulations, or third-party rights.
• Reverse engineer, scrape, or disrupt the Service, or attempt unauthorized access.
• Upload malware, or use the Service to spam, harass, or deceive.
• Resell or sublicense the Service except as expressly permitted in a written order form.
• Use outputs to train competing models or products in a way that violates these Terms or provider agreements.

The Service depends on third parties you choose to connect (meeting platforms, Google OAuth, CRM/LOS providers, Stripe for billing). Those services are governed by their own terms. Lendwave is not responsible for outages, API changes, or policies of third parties. Revoking OAuth access or disconnecting an integration may limit features.

Drafts, summaries, and suggested tasks are probabilistic and may be incomplete or incorrect. Do not rely on them as legal, compliance, or underwriting advice. You must verify outputs before acting or writing to a system of record.

Paid plans are billed through Stripe according to the plan you select (including free trials where offered). Fees are described on the pricing page or an order form. Unless stated otherwise, subscriptions renew automatically until canceled. Taxes may apply. Refunds, if any, are handled according to the plan terms or as required by law.

You authorize Stripe and Lendwave to charge your payment method for recurring fees. Failure to pay may result in suspension or termination.

Lendwave and its licensors own the Service, software, branding, and documentation. These Terms do not transfer ownership of Lendwave IP to you. Feedback you provide may be used to improve the Service without obligation to you.

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes of the relationship, except for information that is public, independently developed, or required to be disclosed by law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNFIELD DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DRAFTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNFIELD AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SUNFIELD FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

You will defend and indemnify Lendwave against claims arising from your Customer Content, your use of the Service in violation of these Terms or law, or your failure to obtain required consents for meetings and integrations.

You may stop using the Service and cancel paid plans according to the billing flow (including Stripe Customer Portal where enabled). We may suspend or terminate access for breach, risk to the Service or other users, non-payment, or legal requirements. Sections that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.

We may update these Terms by posting a revised version with a new effective date. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service and cancel your account.

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless a different governing law is required by a written enterprise agreement. Courts in that jurisdiction will have exclusive venue for disputes, subject to applicable consumer protections.
